Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and TechForge Solutions ("Company," "we," "us," or "our") concerning your access to and use of our website (techforge-solutions.com) and services. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or services.

Services

TechForge Solutions provides software development services, including but not limited to:

• Custom software development
• Web application development
• Mobile application development
• AI and machine learning solutions
• SaaS platform development
• Consulting and technical advisory services

The specific terms of service delivery, timelines, costs, and deliverables will be outlined in separate Service Agreements or Statements of Work (SOW) for each project.

User Obligations

By using our website and services, you agree to:

• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not engage in any activity that interferes with or disrupts our services
• Not attempt to gain unauthorized access to our systems

Intellectual Property Rights

Our Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, software, and design, is the property of TechForge Solutions and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Project-Specific IP Rights

Intellectual property rights related to custom development projects will be specified in individual Service Agreements. Generally, upon full payment, clients receive ownership of custom-developed code and deliverables, while we retain rights to our pre-existing tools, frameworks, and methodologies.

Payment Terms

Payment terms will be outlined in individual Service Agreements or SOWs. General terms include:

• Payments are due as specified in the Service Agreement
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified
• Clients are responsible for any applicable taxes

Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of our business relationship. This includes:

• Business plans and strategies
• Technical specifications and source code
• Financial information
• Customer and user data
• Trade secrets and proprietary processes

Confidentiality obligations may be further detailed in separate Non-Disclosure Agreements (NDAs).

Warranties and Disclaimers

Limited Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranty terms for deliverables will be outlined in Service Agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE AGREEMENTS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from our services shall not exceed the amount paid by the client for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• We are not responsible for delays or failures due to circumstances beyond our reasonable control

Indemnification

You agree to indemnify and hold harmless TechForge Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

We reserve the right to terminate or suspend access to our services at our sole discretion, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or our business
• Exposes us to legal liability
• Is fraudulent or illegal

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with any Service Agreements, SOWs, and NDAs, constitute the entire agreement between you and TechForge Solutions regarding our services and supersede all prior agreements and understandings.
